1. Accounts and Users

Eligibility: You must be entitled to form a binding contract and not be barred from using the Service under applicable law.

Registration: You will create an account, provide accurate information, maintain confidentiality of your login credentials, and be responsible for all activity under your account.

Gmail Integration: By connecting your Gmail account via OAuth, you authorize us to access, read, and process your emails for the purpose of delivering the Service. You remain responsible for the content of your emails and for using the Service in accordance with these Terms.

2. Subscription, Free Trial & Billing

Free Trial: We may offer a free trial (such as 14 days) as detailed on our pricing page; after the trial your subscription will automatically convert to a paid plan unless cancelled.

Fees: You agree to pay all applicable fees and taxes using a valid payment method (via Stripe).

Cancellation and Refunds: You may cancel your subscription at any time via your account settings. Refunds are subject to our Refund Policy.

Changes: We may change fees or subscription plans; we will provide notice and you will have the opportunity to cancel.

3. Acceptable Use

• You agree not to misuse the Service, including but not limited to sending spam, abusing email recipients, performing illegal activities, or circumventing system limits.
• You must comply with all applicable laws, including data protection laws and Google API policies (if applicable) regarding your Gmail usage.

4. Intellectual Property

Ownership: All rights, title and interest in the Service (including software, trademarks, documentation) are owned by Relay AI or its licensors.

License Grant: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes.

Restrictions: You may not reverse engineer, decompile, modify, rent, lease, sublicense the Service, or remove any proprietary notices.

5. Termination

We may suspend or terminate your account if you breach these Terms, misuse the Service, or as required by law.

Upon termination or cancellation, your access to the Service will end. Sections that by their nature should survive such termination will survive (e.g., limitation of liability, intellectual property, indemnification).

6. Disclaimers and Limitation of Liability

• The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied.
• We do not guarantee uninterrupted or error-free operation.
• To the fullest extent permitted by law, Relay AI's total liability will not exceed the amount you paid in the 12 months preceding the claim; we will not be liable for indirect, incidental, special or consequential damages.

7. Indemnity

You agree to indemnify, defend and hold harmless Relay AI, its officers, directors, employees and agents from any claim, liability, loss or demand (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another.

8. Governing Law; Dispute Resolution

• These Terms are governed by the laws of the State of Delaware, U.S.A.
• You and we agree to submit to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.

9. Changes to Terms

We may modify these Terms at any time by posting the revised version on our site and indicating the "Last Updated" date. Your continued use of the Service after changes indicates your acceptance of the modified Terms.

10. Miscellaneous

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement regarding your use of the Service.
• Severability: If any part is held unenforceable, the remainder remains in effect.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
